Contract Law Case: Damodar Ropways and Construction Company v. Ministry of Finance, NKP 2073, Vol. 5
Case: certiorari
Plaintiff: Damodar Ropeways & Construction Company
Defendant: Ministry of Finance
Decision No: 9591
This case is related to turnkey contracts, government guarantee, arbitration, contractual obligations
Facts of the Case:
Nepal Orind Magnesite Pvt. Ltd. entered into a turnkey contract with Damodar Ropeways & Construction Company on 14 January 1983 to construct a 10.5 km ropeway from Kharidhunga to Lamosangu. The Government of Nepal, Ministry of Finance, subsequently entered into a guarantee agreement with Damodar Ropeways for US$2,583,646.60 to secure payment for the work and services covered by the agreement. A dispute arose over whether the ropeway had been completed according to the contract. Damodar Ropeways claimed payment under the government guarantee. The Ministry of Finance argued that the project had not been proved complete according to the contractual requirements. The arbitration tribunal ruled in favour of Damodar Ropeways, and the Patan Appellate Court upheld the award. The Ministry of Finance challenged those decisions through a writ petition.

Plaintiff’s Claim:
Damodar Ropeways argued that the government was bound to pay under the guarantee agreement and challenged the Supreme Court Joint Bench’s decision to quash the arbitral award.
Defendant’s Arguments:
The Ministry of Finance argued that the contractor had not established completion of the turnkey project. It maintained that the government guarantee was conditional upon completion of work within the time and conditions specified in the principal contract.
Legal Issues:
  1. Whether the ropeway project was completed according to the turnkey contract?
  2. Whether the government guarantee was unconditional or conditional?
  3. Whether the arbitral award contradicted the terms of the agreements?
Decision of the Courts:
Arbitration Tribunal: The majority of the arbitration tribunal decided that Damodar Ropeways was entitled to payment under the government guarante.
Patan Appellate Court: Patan Appellate Court upheld the arbitral award and rejected the Ministry of Finance’s challenge.
Supreme Court joint bench: The Joint Bench quashed the arbitral award and the Patan Appellate Court’s decision through a writ of certiorari. It directed that, if the claimant wished to pursue the claim, a new arbitration process should be initiated to determine the relevant factual and legal questions.
Supreme Court full bench: The Full Bench upheld the Joint Bench’s decision. It found that the ropeway was a turnkey project and that completion of the contractual work had not been adequately established. The Court further held that the guarantee agreement was interrelated with the principal construction contract. Its terms could not be interpreted in isolation to impose an unconditional payment obligation on the government. Accordingly, the Full Bench upheld the order quashing the arbitral award and the Patan Appellate Court’s decision.
Established Principles:
  1. Turnkey contract: The contractor must complete the project in accordance with the contractual requirements.
  2. Interrelated contracts: A guarantee agreement connected with a principal contract must be interpreted alongside that contract.
  3. Contractual interpretation: Individual clauses should not be interpreted in isolation from the agreement as a whole.
  4. Performance of obligations: A party that has not fulfilled its contractual obligations cannot ordinarily compel the other party to perform its corresponding obligations.
  5. Conditional guarantee: A guarantee must be interpreted according to its wording and contractual context; it is not necessarily an unconditional promise to pay.
  6. Judicial review of arbitration: An arbitral award contrary to the terms of the agreement may be set aside on the applicable statutory grounds.
