This case is related to execution of loan deed, Loan Transaction.

 

Facts of the Case:
On 2050/11/24 B.S. defendant borrowed Rs. 43,875/- from plaintiff and executed a loan deed. Plaintiff claimed that defendant failed to repay both principal and interest within the agreed period. Defendant admitted signing the loan deed but stated that the loan originally began in 2049/02/05 B.S. and the deed dated 2050/11/24 B.S was only a renewed document extending the repayment period. He claimed that he had already repaid Rs. 15,000/- and for the remaining Rs. 29,000/- both parties executed a contract on 2051/05/01 B.S. under which he agreed to transfer his land to plaintiff. Plaintiff later obtained a court judgment recognizing his ownership over that land. Therefore, according to defendant, no loan amount remained payable. The dispute arose because plaintiff still sought recovery of the entire loan based on the loan deed, while defendant argued that the later land contract had already settled the remaining debt.

 

Plaintiff’s Claim:
Defendant borrowed Rs. 43,875/- under a loan deed dated 2050/11/24 B.S. and failed to repay the loan within the agreed time. Therefore, plaintiff demanded principal amount together with accrued interest and continuing legal interest until payment.

 

Defendant’s Arguments:
The loan deed of 2050/11/24 B.S. was only a renewal of an earlier loan and he had already repaid Rs. 15,000/- The remaining Rs. 29,000/- was settled through the contract dated 2051/05/01 B.S. under which he agreed to transfer his land to plaintiff and he had already obtained a court judgment recognizing ownership over that land Therefore, the earlier loan obligation had already been settled and no further payment was due.

Decisions of the Courts:
Makwanpur District Court:
District court held that defendant failed to prove repayment of the loan and ordered defendant to pay the principal and interest according to the loan deed.

Hetauda Appellate Court:
Held that the later contract regarding the land settled the earlier loan transaction and reversed District Court’s judgment.

Supreme Court (Joint Bench):
Justice Harish Chandra Prasad Upadhyaya: Restored District Court’s decision.
Justice Kedar Nath Acharya: Uphold Appellate Court’s decision.

Supreme Court (Full Bench):
It held that although the loan deed and the later contract were different legal documents, they involved the same parties and formed part of the same financial arrangement. Since the later contract was intended to settle the outstanding debt by transferring land, Plaintiff could not claim the loan amount again under the earlier loan deed and upheld Appellate Court’s judgment and dismissed plaintiff’s claim.

 

Established Principles:
A loan deed and a contract are different legal documents, but when they are executed between the same parties as part of the same financial transaction, they must be read together. If the later agreement was intended to settle the earlier debt, the creditor cannot recover the same debt again under the earlier loan deed.
