Facts of the Case:
Unity Life International Ltd. was registered as a public company in Nepal. It claimed to operate businesses including hospitals, department stores, insurance, banking-related services, and other enterprises. It also collected money from a large number of people through its membership and investment schemes.
Following public complaints and media reports, the Government formed an investigation committee to examine the company’s activities. The investigation found that the company was carrying out banking, insurance, foreign exchange, and share-related activities without the required approval from the concerned authorities.
The investigation also found that the company had collected more than Rs. 3.5 billion from over 366,000 members. Company funds were allegedly used for the personal benefit of its directors, and some property purchased with company money was registered in a director’s personal name.
Following the investigation, government authorities froze bank accounts, sealed company premises, and took legal action against the directors and employees. Unity Life challenged these actions before the Supreme Court, claiming that its legal and fundamental rights had been violated.

Supreme Court:
The Supreme Court dismissed the writ petition.
The Court held that the Government had the power and duty to investigate complaints involving possible harm to the public. The investigation itself did not violate the company’s rights.
The Court found that Unity Life had carried out several regulated activities without the required legal approvals. Its registration as a company did not give it permission to conduct businesses requiring separate regulatory approval.
The Court held that separate corporate personality is not an absolute protection. Where a company is used for fraud, deception, tax evasion or personal benefit, the corporate veil may be lifted and the persons responsible may be held personally liable.
The Court also held that criminal responsibility for unlawful acts generally falls on the directors, officers or employees who committed them. However, the company may still be responsible for civil liability arising from the harm caused.
